1. About these terms
These Terms of Use ("Terms") govern your use of ProcMar, a CRM and procurement platform for the marine industry, including the website at procmar.com, the web portal at app.procmar.net, the ProcMar mobile apps and any connectors or APIs we provide (together, the "Service"). ProcMar is a product of AppCoders ("we", "us", "our").
The company that signs up for ProcMar is our customer ("Customer"). People the Customer allows to use its account, such as staff, are "Users". By creating an account or using the Service, you agree to these Terms on behalf of yourself and, where you act for a company, on behalf of that company. If you do not agree, do not use the Service.
2. Accounts and access
- You must give accurate information when you sign up and keep your company profile up to date.
- The Customer's administrators decide who can use the account and which modules each User can see. The Customer is responsible for everything done under its account.
- Keep your password private and do not share logins. Tell us straight away if you think someone has used your account without permission.
- You must be at least 18 years old and able to enter into a binding agreement.
3. Trial, subscription and payment
- Trial. A new company account starts with a free 30-day trial.
- Subscription. After the trial, access continues for the subscription periods agreed with us. Fees, currency and billing period are as quoted to you or shown on your invoice, and are payable in advance.
- Renewal reminders. We email the company address on file before a period ends.
- Grace period. If a period ends without renewal, you keep full access for 7 days. After that, access to the Service is paused until the subscription is renewed. Your data is not deleted when access is paused.
- Taxes. Fees exclude taxes unless stated. You pay any applicable taxes.
- Refunds. Fees already paid are not refundable, except where the law requires otherwise.
4. Your data
You own the business data you and your Users put into ProcMar, such as clients, contacts, vessels, RFQs, quotations, invoices, payments, suppliers, products, files, photos and marketing contacts ("Customer Data"). You give us permission to host, process and display Customer Data only as needed to provide, secure and support the Service.
You are responsible for the accuracy and lawfulness of Customer Data, and for having the right to store it and to contact the people in it. This includes consent and opt-out obligations for marketing emails.
You can ask us at any time to export your Customer Data or to close your account and delete it, by writing to [email protected]. Our Privacy Policy explains how we handle personal information.
5. Acceptable use
You agree not to:
- use the Service for anything unlawful, fraudulent or harmful;
- send spam, or send marketing campaigns that break anti-spam or data protection laws;
- upload malware, or content you do not have the right to use;
- try to access other customers' data, probe or bypass our security, or disrupt the Service;
- copy, resell, reverse engineer or scrape the Service, except where the law allows it;
- put an unreasonable load on the Service, for example through automated requests that are not part of a feature or connector we provide.
6. Email sending and connected services
Quotations, invoices, purchase orders and campaigns that you email from ProcMar are sent through the SMTP server or SendGrid account you set up in Settings. You are responsible for those accounts, for the content you send and for your sender reputation.
Links you send to suppliers or clients, for example to view or submit a quotation, can be opened without a ProcMar login. Share them only with the intended recipient.
If you connect a third-party service to ProcMar, such as an AI assistant through our connector, that service acts on your instructions and under its own terms. We are not responsible for third-party services.
7. Availability and changes to the Service
We work to keep the Service available and secure, but we do not promise that it will be uninterrupted or error-free. We may carry out maintenance, and we may add, change or remove features. If a change materially reduces the Service you have paid for, we will tell you in advance where we reasonably can.
8. Our intellectual property
The ProcMar software, design, documentation and brand belong to us or our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send us ideas or feedback, we may use them without obligation to you.
9. Confidentiality
Each of us will keep the other's confidential information private and use it only for the purposes of these Terms. This does not apply to information that is public, already known to the recipient, or that must be disclosed by law.
10. Disclaimers
The Service is provided "as is" and "as available". Documents such as quotations, invoices, ledgers and reports are generated from the data you enter, and you are responsible for checking them, including prices, exchange rates and tax details, before you rely on or send them. To the extent the law allows, we disclaim all implied warranties, including fitness for a particular purpose.
11. Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential losses, or for loss of profits, revenue, business or data. Our total liability for any claim relating to the Service is limited to the fees the Customer paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
12. Suspension and termination
You can stop using the Service at any time and ask us to close your account. We may suspend or end access if fees are unpaid, if these Terms are breached, or if needed to protect the Service or other customers. Where possible, we will tell you first and give you a chance to fix the problem. Sections on your data, confidentiality, disclaimers and liability continue after termination.
13. Governing law
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have jurisdiction over any dispute, unless the law where you are based gives you a right to bring a claim elsewhere.
14. Changes to these terms
We may update these Terms. The date at the top shows the latest version. For significant changes we will notify the company email on file or show a notice in the Service. Continuing to use the Service after a change takes effect means you accept the updated Terms.
